TitanTraxx Terms and Conditions of Service
Welcome to TitanTraxx. By engaging our mixing and mastering services, you agree to be bound by the following terms and conditions. Please read them carefully.
1. Scope of Work
TitanTraxx agrees to provide professional audio mixing and mastering services as per the specifications provided by the client. The scope of work includes:
– Mixing: Balancing, equalizing, and processing individual tracks to achieve a cohesive and polished final mix.
– Mastering: Enhancing the final mix for optimal playback across all devices and platforms, ensuring it meets industry standards.
– Deliverables: Upon completion, TitanTraxx will deliver the final mastered audio files in the format(s) agreed upon (e.g., WAV, MP3).
2. Payment Terms
– Total Cost: The total cost of services will be determined based on the project scope and will be quoted to the client before work begins.
– Deposit: A 50% deposit of the quoted price is required to begin the project. The project officially starts once TitanTraxx receives both the deposit and the necessary files from the client.
– Final Payment: The remaining 50% balance is due upon completion of the project. Final deliverables will be sent to the client only after the balance is paid in full.
3. Timeline
– Project Start: The project begins once TitanTraxx receives the client’s files and the 50% deposit.
– Completion Date: The client selects the desired due date on the TitanTraxx.com website. TitanTraxx will complete the project by that date, barring any unforeseen delays due to force majeure or other extraordinary circumstances.
4. Intellectual Property
– Client Ownership: The client retains full ownership of all intellectual property, including the music and any related content submitted to TitanTraxx.
– Royalty Agreements: Separate agreements may be made between the client and Melvin Thomas Boyd, Jr. regarding royalty payments. Such agreements are distinct from these terms and do not imply ownership of the client’s music by TitanTraxx or its owner unless explicitly stated in a U.S. Copyright.
5. Revisions
– Included Revisions: TitanTraxx offers unlimited revisions within 90 days of delivering the completed work for client review.
– Additional Revisions: After the 90-day period, any additional revisions will incur a fee of 20% of the original total price.
6. Confidentiality
TitanTraxx acknowledges that any sensitive or confidential information provided by the client will be kept strictly confidential and will not be disclosed to any third parties without the client’s consent, except as required by law.
7. Termination
– Client-Initiated Termination: If the client chooses to cancel the project before its completion, they will be refunded their deposit minus any payment processing fees. The remaining balance will be voided.
– Non-Refundable Deposits: No refunds will be issued once the project is complete and the client has received the final deliverables.
– Abandoned Projects: If the client fails to communicate or pay the remaining balance after the work is complete, TitanTraxx will grant a two-week grace period after sending the initial review files. If the client does not resume communication within this period, the project will be considered abandoned, and the client forfeits any rights to a refund of their deposit.
8. Liability
– Limitations of Liability: TitanTraxx will not be liable for any damages, losses, or expenses arising from the use of the delivered services, except in cases of gross negligence or willful misconduct.
– Force Majeure: TitanTraxx will not be held responsible for any delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of war, or government actions.
9. Governing Law and Dispute Resolution
– Governing Law: This agreement shall be governed by the laws of the State of Louisiana, United States of America.
– Arbitration: The client agrees to resolve any disputes with TitanTraxx through binding arbitration and waives their right to sue TitanTraxx in a court of law.
10. Acceptance of Terms
By checking the box and submitting the onboarding form, both parties indicate their agreement to these terms and conditions. This action serves as a legally binding signature from both parties.
